AdglideTerms of service
1. The service
Adglide is a web platform, operated by M53 Tech Labs FZC, Shams Free Zone, Sharjah, United Arab Emirates (“Adglide”, “we”), that lets agencies and advertisers connect advertising platforms such as Google Ads and ChatGPT Ads (OpenAI), plan and stage changes, have them approved, publish them, and report on results. Some customers also use our goal-oriented managed service, under the commercial terms agreed with them. By using Adglide you agree to these terms.
2. Accounts and eligibility
You must be at least 18 and able to enter a binding contract. If you use Adglide for a company or a client, you confirm you are authorized to bind it. Keep your sign-in details confidential, tell us about unauthorized use, and make sure the people you invite are authorized. You are responsible for activity under your account.
3. Customer responsibilities
- Authority. You may connect only ad accounts, merchant accounts and other resources that you own or are authorized to manage, and you are responsible for the permissions you give your team and clients.
- Ad spend. Advertising spend is billed to you by the ad platforms (for example Google or OpenAI) under your agreements with them, not by Adglide. You remain responsible for budgets, bids and settings you approve. Adglide creates new campaigns paused, but once you activate something it spends under the platform's rules.
- Platform policies. You must comply with the terms and advertising policies of each connected platform, including the Google Ads, Google API Services and OpenAI terms that apply to you, and with applicable advertising, consumer and privacy laws.
- Your content and data. You are responsible for your ads, creatives, landing pages and any customer data you upload, and you confirm you have the rights and any legally required consent to use it for advertising.
4. Fees and invoices
Fees are as stated in your order, plan or agreement. We invoice monthly and payment is made by manual bank transfer within the payment term stated on the invoice (14 days unless agreed otherwise). Fees are exclusive of applicable taxes unless stated. Late amounts may carry interest as permitted by law, and we may suspend the service for overdue invoices after notice.
5. Acceptable use
You must not: use Adglide to advertise unlawful, deceptive or prohibited products or content; break the rules of a connected platform; interfere with or overload the service; attempt unauthorized access; reverse engineer it except as the law allows; resell it without our written agreement; or use it to build a competing service.
6. Intellectual property
Adglide, its software, design and documentation belong to us and our licensors. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. You keep ownership of your data and content and grant us the licence needed to host and process them to provide the service. Our handling of personal data is described in the privacy policy.
7. Third-party platforms
Adglide depends on third-party platforms and APIs that we do not control. Their availability, features, limits, policies and decisions (such as ad disapprovals or account suspensions) are theirs, and may change or limit what Adglide can do. Adglide is independent of and not endorsed by those companies.
8. Confidentiality
Each party will protect the other's non-public information, use it only to perform or use the service, and disclose it only to people who need it and are bound to confidentiality, or as required by law.
9. Disclaimer of warranties
The service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement, and we do not promise uninterrupted or error-free operation, or any advertising result, return or performance target.
10. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, data or goodwill, and our total liability for claims arising from the service in any 12-month period is limited to the fees you paid us in that period. Nothing excludes liability that cannot be excluded by law. We are not responsible for advertising spend charged by ad platforms.
11. Suspension and termination
You may stop using Adglide at any time and close your account by contacting us. We may suspend or end access if you breach these terms, if required by law or a platform, or on 30 days' notice. On termination your right to use the service ends and we handle your data as described in the privacy policy. Sections that by their nature should survive will survive.
12. Changes
We may update these terms or the service. For material changes we will give notice by email or in the application. Continued use after the effective date means you accept the update.
13. Governing law
These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah, and the courts of Sharjah, United Arab Emirates have jurisdiction, subject to any mandatory consumer rights.
